CBOE to Acquire National Stock Exchange

January 6, 2012
The SEC granted accelerated approval to proposed rule changes in connection with the the planned acquisition of the National Stock Exchange, Inc. (NSX) by CBOE Stock Exchange, LLC (CBSX).  The proposal was submitted to SEC on 11/28/11. Currently, NSX is wholly and directly owned by NSX Holdings, Inc.  Under a Purchase Agreement dated 9/28/11 by and between NSX, NSX Holdings and CBSX, CBSX would acquire all of the outstanding capital stock of NSX, making NSX a wholly-owned subsidiary of CBSX.  NSX would remain registered as a national securities exchange under Section 6 of the Act, and accordingly, NSX would remain an SRO. For further details, go to:  [CBOE Rule Filing 11-107, and NSX Rule Filing 11-14, 12/29/11]
