FINRA Elections - 2011
This summer, FINRA will elect individuals to fill one Small Firm seat and one Large Firm seat on the FINRA Board of Governors. The vote will be conducted at FINRA's Annual Meeting, scheduled for Wednesday, 8/3/11. It will be held at the FINRA Visitors Center in Washington, DC. Firms not planning to attend the meeting are encouraged to be represented by proxy. To be considered valid, the proxy must be signed by the executive representative of the firm eligible to vote in the election for that category of governorship.
FINRA member firms as of the close of business on Tuesday, 6/28 - the annual meeting record date - will be eligible to vote.
Election of Governors - Eligibility. Two seats on the FINRA Board will be filled: one Small Firm Governor, one Large Firm Governor. To be eligible to serve, Large Firm Governors must be registered with large firms, while Small Firm Governors must be registered with small firms.
- A Small Firm employs at least one and has 150 or fewer registered persons.
- A Large Firm employs 500 or more registered persons.
Governors are appointed or elected to 3-year terms, and may not serve more than 2 consecutive terms. A governor who is elected or appointed to fill a vacancy for a term of less than one year, that individual may serve up to two consecutive terms following the expiration of his or her initial term.
Candidates - Who's Running. Small Firm Governor Candidates - Nominees by Petition - are:
- Alan Davidson, President, Zeus Securities.
- E. John Moloney, Chairman and CEO, Moloney Securities Co.
- Ken Norensberg, COO, Tritaurian Capital Incorporated.
Large Firm Governor Candidate, as nominated by the FINRA Nominating Committee, is: Sallie L. Krawcheck, President of Global Wealth & Investment Management, Bank of America. No individuals submitted petitions to be added as candidates for the Large Firm Governor seat.
